How We Work With You

Most people sell or buy a company just once in their careers. Before you sign anything, we want every choice to be as clear to you as it is to us.

Straight talk in everyday words
You will hear SDE, EBITDA, asset sale and seller note right away. We spell out what each one does to your money and your schedule, clearly enough that you could explain it to your spouse or accountant.
Results you are welcome to ask about
The businesses we have sold total over $5 million. On your first call, ask us how those deals came together and what we learned from them.
We are paid out of your sale
There is no charge to list with us at the start, no retainer and nothing buried in the fine print. Our fee comes from the proceeds at closing, only once the seller is paid, so we want what you want: a closed deal at a fair price.
Privacy at every stage
Your staff, customers and competitors should learn about a sale only when you decide. Every buyer is screened and signs a confidentiality agreement before hearing your business name.
Buyers prepared to move
Registered buyers get the first look at new listings. Ready buyers find good businesses sooner, and sellers hear from people who have already proven they can follow through.

Selling, Buying and Everything in Between

Most owners come to us wanting to sell a business, and most want a business valuation first so they know where they stand. We also help buyers who want to buy a business or a franchise resale, and owners selling a business and property together. For bigger or more complicated moves we handle mergers and acquisitions, exit planning, partner buyouts and succession, and acquisition financing guidance so a deal does not stall at the bank.

Who We Are at Business Broker Leander

We are business brokers serving owners and buyers in Leander and the towns around it. Our clients tend to run the companies a growing area relies on: service firms, contractors, retail stores, restaurants, franchises and small manufacturers.

How we work is straightforward. Anyone buying or selling a business should know what they are signing, so explaining gets as much of our time as marketing. Plenty of owners reach out a year or two ahead of a sale just to find out what the business is worth and what could push that figure higher. We are glad to take that call.

The Path From First Call to Closing

No two deals move at the same speed, but nearly all of them take the same route. Here is how it goes from beginning to end.

  1. 1

    A private first talk

Share your business and goals with us by phone, by video or at our office. We answer your questions and go over your choices before we ask to see any paperwork.

  2. 2

    Your free valuation

We go through several years of financials, add back owner expenses and look at sales of similar businesses. You receive a realistic value range and a plain account of what drives it.

  3. 3

Getting the listing ready and out

We write a blind listing that describes your business without naming it, and we give full details only to screened buyers who have signed a confidentiality agreement. Registered buyers see it before anyone else.

  4. 4

    Weighing offers and negotiating

We help you line up offers by price, terms, financing and transition help. Then we negotiate a letter of intent that you feel good about.

  5. 5

From due diligence to closing day

The buyer checks your records, the lender completes its review and the attorneys prepare the final documents. We keep every party on pace and tell you what comes next, so closing day brings no surprises.

What Moves Your Price and Your Costs

Your business is worth what a qualified buyer will pay and what a lender will back. A few factors set that figure, and we go over each one with you during the valuation. Knowing them ahead of time often adds more to your sale than any bargaining tactic.

The valuation costs nothing and stays confidential, and we are paid only from a completed sale. We explain exactly how that works on the first call, before you agree to anything.

Earnings you can prove
Buyers and lenders pay for cash flow they can confirm. Tax returns that agree with your books, with owner perks plainly added back, carry more weight than a great year no one can document.
How much rests on you
When every customer and every big decision goes through the owner, buyers see risk. A trained manager, written procedures and a stable staff increase what a buyer will pay.
Reliance on a few customers
When one client accounts for a big piece of revenue, buyers get uneasy. A broader customer base tends to bring a better price and simpler financing.
Lease, property and equipment
A lease that can be transferred with years remaining, or real estate sold with the business, affects both the value and who can buy. Old equipment that will need replacing soon gets reflected in the price.
How the deal is structured and paid for
Cash at closing, a bank loan and a seller note each change the final figure in their own way. We show you what lands in your pocket under each option, not only the headline price.

What Owners and Buyers Want to Know

What is my business worth?

For most small companies, value begins with seller's discretionary earnings: the profit plus the owner's pay and personal costs run through the business. That number is multiplied by a range set by your industry, risk and growth. We handle this for you in a free, confidential valuation and walk you through how we reached it.

What will I pay to sell my business through you?

Nothing to begin with. There is no up-front charge, no retainer and no hidden fee for listing with us. We take our fee from the proceeds at closing, which means we are paid only once you are. We review the fee with you before you sign the listing agreement.

How will you keep my sale private?

Your business name never appears in the listing. Before seeing details, buyers must register, sign a confidentiality agreement and prove they can pay for the deal. We also work out with you when and how to tell employees, usually near or after closing.

How long does selling a business usually take?

A typical small business takes at least a few months, and often nearer to a year, from listing to closing. Clean financials, a reasonable asking price and a buyer with financing already in place all shorten the wait. After your valuation, we give you a timeline you can plan on.

Do my books have to be perfect before I call?

No. Bring whatever you have, which is usually recent tax returns and profit and loss statements. We will explain what buyers and lenders expect and what to clean up before the business is listed.

I want to buy a business. How can I see what is for sale?

Call us to register as a buyer. We will ask about your background, your budget and the type of business you have in mind, and registered buyers get new listings first. We can also go over the usual ways buyers pay for an acquisition, such as bank loans and seller financing.

Is it worth calling if I am not ready to sell?

Yes. Owners who start planning two or three years out tend to get a higher price and better terms. Exit planning gives you time to make the business less dependent on you and to tidy up your records, so the sale runs smoothly when it comes.
